Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of Prompt Metrics ("Service"), operated by 9523 Labs, LLC ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

Prompt Metrics is an AI visibility monitoring platform. The Service queries third-party AI assistants — including models from OpenAI, Anthropic, Google, xAI, DeepSeek, and Perplexity — on your behalf to measure how often your brand is mentioned in AI-generated responses. We provide visibility scores, competitor analysis, citation tracking, site audits, and actionable recommendations.

3. Accounts

You must provide accurate information when creating an account. Each account is associated with one or more workspaces. You are responsible for all activity under your account and for maintaining the security of your credentials. Notify us immediately at support@promptmetrics.xyz if you suspect unauthorized access.

Workspaces may include team members with varying roles and permissions. The workspace owner is responsible for managing member access and ensuring all members comply with these Terms.

4. Subscriptions and Billing

The Service is offered under paid subscription plans with a free trial period. Billing is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

• Plans have defined limits on workspaces, prompts, responses per month, and team members. Exceeding these limits may require upgrading your plan.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We reserve the right to change pricing with reasonable notice. Price changes do not apply retroactively to the current billing period.
• Refunds are handled on a case-by-case basis at our discretion.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Interfere with the operation of the Service or circumvent usage limits, rate limits, or security measures.
• Resell, sublicense, or redistribute access to the Service without our written consent.
• Submit content that is defamatory, obscene, or infringes on the rights of third parties.
• Use automated tools to scrape, crawl, or extract data from the Service beyond normal API usage.

6. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by Prompt Metrics and protected by applicable intellectual property laws. You retain ownership of the data you provide (brand names, competitor lists, prompts). We retain ownership of all derived data, analyses, scores, and recommendations generated by the Service.

You grant us a limited license to use your submitted data solely for the purpose of providing and improving the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described therein.

8. Third-Party AI Services

The Service queries third-party AI models (including those operated by OpenAI, Anthropic, Google, xAI, DeepSeek, and Perplexity) to generate visibility data. We do not control the responses these models produce. AI-generated content may be inaccurate, incomplete, or change over time.

We provide AI response data as-is for informational and analytical purposes. We make no guarantees about the accuracy or consistency of third-party AI outputs.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that visibility scores or recommendations will produce any specific business outcome.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTMETRICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Termination

You may terminate your account at any time by contacting us or using the account settings. We may suspend or terminate your access if you violate these Terms or if required by law.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
